Metosys License Agreement

1. Introduction

Welcome to Metosys ("we", "our", "us"). These terms constitute a legal agreement ("Agreement") between you ("you", "your", "Licensee") and Metosys regarding your use of the Metosys software and services (the "Software").

By accessing, installing, or using the Software, you agree to be bound by this License Agreement. If you do not agree, you must not use the Software.

2. Grant of License

Subject to the terms of this Agreement, Metosys hereby grants you a limited, non-exclusive, non-transferable, revocable license to:

• install, load and run the Software on your hardware or infrastructure;
• use the Software in accordance with our documentation and any usage limits specified;
• receive updates, patches and new versions if and as we provide them.

3. License Restrictions

You agree not to:

• copy, distribute, modify, adapt, translate or create derivative works of the Software except as expressly permitted by this Agreement;
• reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Software;
• sublicense, rent, lease, lend, sell or otherwise transfer the Software or any portion thereof to any third party;
• use the Software in any manner that violates applicable laws or infringes any third-party rights.

4. Ownership

The Software is licensed, not sold. Metosys retains all right, title and interest in and to the Software, including all intellectual property rights.

All rights not expressly granted to you are reserved by Metosys.

5. Updates and Support

Metosys may, at its sole discretion, provide you with updates, enhancements or support services for the Software ("Updates").

Your use of such Updates will be governed by the terms of this Agreement unless separate terms accompany the Update.

8. Termination

This Agreement is effective until terminated. You may terminate the Agreement by ceasing all use of the Software and destroying all copies.

Metosys may terminate this Agreement immediately if you breach any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies you have. Sections 4, 6, 7 and 9 shall survive termination.

9. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of laws principles.

You consent to the exclusive jurisdiction of the courts located in Lahore, Pakistan to resolve any dispute arising under this Agreement.

10. General Provisions

• This Agreement constitutes the entire agreement between you and Metosys relating to the subject matter herein and supersedes all prior or contemporaneous communications and proposals.
• If any provision of this Agreement is held to be unenforceable, that provision will be struck and the remainder of the Agreement will remain in full force and effect.
• No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term.
• You may not assign or transfer your rights under this Agreement without the prior written consent of Metosys.
